Terms of Service

1. Acceptance of Terms

By accessing or using the Ingredible platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to “you” include that organisation.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

Ingredible is a software-as-a-service (SaaS) platform that helps food manufacturers generate food labels in accordance with standards set by Food Standards Australia New Zealand (FSANZ). The Service automates the generation of ingredient lists, Nutrition Information Panels (NIP), allergen declarations, Health Star Ratings, Country of Origin labels, and related compliance outputs based on product formulation data you provide.

The Service is provided for informational and workflow-automation purposes only. It does not constitute legal, regulatory, or professional food-science advice. You are solely responsible for verifying that your final food labels comply with all applicable laws and regulations.

3. Account Registration

To use the Service you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account, whether or not authorised by you.
• Notifying us immediately at support@ingredible.au if you suspect unauthorised access to your account.

You must be at least 18 years old to create an account. Accounts must not be shared between individuals without our prior written consent.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service, its servers, or any related systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or otherwise commercialise the Service or its outputs without our prior written permission.
• Upload or transmit any content that is unlawful, defamatory, harmful, or infringes third-party rights.
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated this section.

5. Subscription and Payment

Ingredible offers both free and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) as indicated at the time of purchase. All fees are quoted in Australian dollars (AUD) and are exclusive of GST unless stated otherwise.

Payment is processed by our third-party payment provider. We do not store your payment card details. By subscribing to a paid plan, you authorise us to charge your nominated payment method on each renewal date until you cancel.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period; no refunds are issued for partial periods unless required by law. We reserve the right to modify our pricing with at least 30 days’ notice.

6. Intellectual Property

All rights, title, and interest in and to the Service — including its software, design, trademarks, and content (excluding your data) — are and remain the exclusive property of Ingredible. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all product formulation data, ingredient data, and other content you submit to the Service (“Your Content”). By submitting Your Content, you grant us a limited, non-exclusive licence to process and store it solely for the purpose of providing the Service to you. We will not use Your Content for any other purpose.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you agree to the data practices described in the Privacy Policy.

You are responsible for ensuring that any personal information you upload about third parties (e.g. employees or collaborators) is collected and shared in compliance with applicable privacy laws.

8. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

FSANZ standards are updated periodically. While we endeavour to keep the Service current, we do not guarantee that outputs reflect the latest regulatory requirements at all times. You are responsible for verifying compliance of your food labels with a qualified food-science or regulatory professional before use.

To the maximum extent permitted by Australian law, Ingredible’s total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) AUD $100. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot be lawfully excluded or limited.

9. Termination

You may close your account at any time by contacting us or using the account deletion option in your settings. Upon termination, your right to use the Service ceases immediately. We will delete or anonymise your personal data within 30 days as described in our Privacy Policy.

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have materially breached these Terms, engaged in fraudulent or illegal activity, or if required by law. Where practical, we will provide you with notice and an opportunity to remedy the breach before terminating.

10. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for resolution of any dispute arising out of or in connection with these Terms.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and close your account before the changes take effect.
